1. Introduction

Welcome to Every Putt Counts (the “App”). These Terms of Use (“Terms”) govern your access to and use of the App provided by Every Putt Counts (“we,” “our,” or “us”).

By using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

Your use of the App is also subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Access and Use of the App

2.1 Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

2.2 License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the App for your personal, non-commercial use, subject to these Terms.

2.3 Account Registration

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. User Responsibilities

You agree not to:

⦁ Use the App for any unlawful purpose or in violation of applicable laws.

⦁ Attempt to gain unauthorized access to the App, other users’ accounts, or any connected systems or networks.

⦁ Use the App in any way that could damage, disable, overburden, or impair it, or interfere with other users’ access.

3.2 Content

You are responsible for any content you submit or upload through the App. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and modify that content solely for operating and improving the App.

You represent and warrant that you have all necessary rights to the content you provide and that it does not infringe or violate any third-party rights or applicable laws.

4. Intellectual Property

The App and all content, including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, create derivative works, reverse engineer, or exploit any part of the App or its content without our prior written consent.

5. Disclaimers and Limitation of Liability

5.1 No Warranty

The App is provided “as is” and “as available.” We make no warranties, express or implied, regarding the App, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted or error-free.

5.2 Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify, defend, and hold harmless Every Putt Counts, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to:

⦁ Your access to or use of the App,

⦁ Your violation of these Terms, or

⦁ Any content you provide.

7. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice.

Upon termination, your right to use the App will immediately cease. Certain provisions of these Terms—such as intellectual property rights, disclaimers, limitations of liability, and indemnification—will survive termination.

8. Changes to These Terms

We may update these Terms from time to time. When changes are made, we will update the effective date at the top of this page. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

9. App Store Terms

If you access the App through a mobile application obtained from a third-party app store (such as the Apple App Store or Google Play Store), your use of the App must also comply with the applicable terms and conditions of that app store.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Idaho, United States of America, without regard to its conflict of law principles.
